What is this contract?

With an option agreement, the company gives someone the right to acquire a shareholding in the future at an agreed price. The most common misunderstanding is about what an option is not: it is not a shareholding. Until the option is exercised, the holder is not a shareholder and has no voting rights or right to dividends. Vesting means the option is earned over time, and the cliff is the first period during which nothing is earned — whoever leaves before the cliff has passed takes nothing with them. The rest is decided by the leaver terms: what happens to the vested part and how long there is to exercise it.

Frequently asked questions

Is the option holder a shareholder?

No. An option is a right to acquire a shareholding in the future — before exercise there are no voting rights and no right to dividends.

What is a cliff?

A waiting period at the start of vesting during which no part of the option is earned. If the holder leaves before it passes, they are left with nothing.

How is an option taxed?

That depends on the terms and deadlines and must be checked separately before signing — the template does not contain tax advice.
