15.4 The Agreement (together with its annexes) constitutes the entire agreement between the Parties and supersedes all prior oral and written agreements relating to the subject matter of the Agreement. The Agreement enters into force once both Parties have signed it.
16. LEGAL BASIS
16.1 This distribution agreement is subject to the general part of the Law of Obligations Act (freedom of contract), and the requirement of free determination of the resale price arises from § 4 of the Competition Act. As regards vertical agreements, Commission Regulation (EU) 2022/720 applies.
What is this contract?
A distribution agreement gives a reseller the right to sell your products in an agreed territory. The agreement sets whether the right is exclusive, at what price the distributor buys and what volume and marketing obligations it takes on. Dictating the resale price has competition-law limits, which the template deals with separately.

Frequently asked questions
Can the agreement grant exclusivity for one territory?
Yes, exclusivity and the extent of the territory are fields to fill in.
Does a distribution agreement differ from an agency agreement?
Yes — a distributor buys and sells goods in its own name and for its own account, while an agent arranges sales in the name of the other party.
Does the agreement take competition-law restrictions into account?
The template leaves room for writing in competition-law restrictions, but for more complex arrangements we recommend involving a lawyer.
