POWER OF ATTORNEY
Drawn up in [Place of drawing up] on [Date of the power of attorney].
1. PRINCIPAL
1.1 [Name of the principal]
Personal identification code: [Personal identification code / registry code of the principal]
Address: [Address of the principal]
(hereinafter the "Principal")
2. AGENT
2.1 [Name of the agent]
Personal identification code: [Personal identification code of the agent]
Address: [Address of the agent]
(hereinafter the "Agent")
3. CONTENT OF THE AUTHORISATION
3.1 The Principal authorises the Agent to perform the following acts on behalf of the Principal:
[Content of the authorisation]
3.2 For performing the acts specified in clause 3.1, the Agent may, on behalf of the Principal, submit and sign applications, requests and other documents and receive information and documents only to the extent necessary for performing those acts. The authorisation is valid for representation before the following authority or person: [Authority or person before whom the principal is represented].
4. SCOPE OF THE AUTHORISATION
4.1 This power of attorney has been granted for performing one specific act and does not entitle the Agent to perform other transactions on behalf of the Principal.
4.2 The Agent does not enter into a transaction on behalf of the Principal with itself or act at the same time as the representative of the other party to the transaction, unless the Principal has expressly permitted this in clause 3.1 (§ 131 (1) of the General Part of the Civil Code Act).
4.3 The provisions of §§ 128–130 of the General Part of the Civil Code Act apply to a transaction entered into by the Agent in excess of the limits of the authorisation: a multilateral transaction does not bind the Principal unless the Principal ratifies it, and a unilateral transaction is generally void.
5. VALIDITY
5.1 The power of attorney is valid until [Expiry date].
5.2 The power of attorney is valid as of its signing. In addition to the provisions of clause 5.1, the authorisation terminates, among other things, if the Agent has performed the transaction for which the authorisation was granted, if performing that transaction has become impossible, if the Principal revokes the authorisation or if the Agent renounces the authorisation, as well as on the other grounds provided for in § 125 of the General Part of the Civil Code Act.
6. DELEGATION
6.1 The Agent has no right to delegate the rights arising from this power of attorney to third parties.
7. EXERCISE OF THE AUTHORISATION
7.1 The Agent exercises the authorisation in the interests of the Principal and in accordance with the Principal's instructions and, at the Principal's request, reports to the Principal on the acts performed under the power of attorney.
7.2 Transactions entered into by the Agent on behalf of the Principal within the limits of the authorisation give rise to rights and obligations directly for the Principal.
8. REVOCATION
8.1 The Principal may revoke the power of attorney at any time, even if the power of attorney has been granted for a specified term, by notifying the Agent and, where necessary, the authority before which the power of attorney is used (§ 126 (1) of the General Part of the Civil Code Act).
8.2 After the termination of the authorisation, the Agent returns the power of attorney to the Principal without delay (§ 125 (5) of the General Part of the Civil Code Act). Until the power of attorney has been returned to the Principal or declared invalid, the authorisation is deemed valid with regard to third parties (§ 127 (3) of the General Part of the Civil Code Act), except with regard to a person who knew or should have known of the termination of the authorisation (§ 127 (4) of the General Part of the Civil Code Act).
8.3 If the power of attorney has been presented to a third party or an authority, the Principal also notifies them of the revocation of the authorisation.
9. WARNING ON FORMAL REQUIREMENTS
9.1 This power of attorney is in simple written form. Under Estonian law, certain transactions require a notarially authenticated power of attorney, in particular real estate transactions and the transfer of shares in a company. If the law prescribes a form for a transaction and failure to comply with it renders the transaction void, the authorisation granted for entering into the transaction must be in the same form (§ 118 (3) of the General Part of the Civil Code Act).
9.2 A power of attorney in simple written form does not replace a notarially authenticated power of attorney. If the intended act requires notarial form, the power of attorney must be executed before a notary.
9.3 Certain acts cannot by law be performed through a representative (e.g. making a will or contracting a marriage); this power of attorney does not grant the right to perform them.
9.4 An authority or a third party may require the power of attorney to be presented as an original or in digitally signed form and the Agent's identity to be proven.
