What is this contract?

A data processing agreement is needed when one company processes personal data for another company and on its instructions — a hosting service, an accountant, a customer support platform, a marketing agency. The difference between the roles is the basis of the whole document: the controller decides why and how the data is processed, while the processor processes it only on instructions and does not use it for its own purposes. The agreement is an annex to the main service agreement, not a replacement for it, and covers the points data protection actually requires: what is processed, who the data subjects are, what the security measures are, whether sub-processors may be brought in, how quickly a breach is reported and what finally happens to the data.

Frequently asked questions

Who needs a data processing agreement?

Every company that lets someone else process the personal data of its customers or employees — and also the service provider itself that processes that data for its client.

Does it replace a privacy policy?

No. A privacy policy speaks to the data subject, a data processing agreement is between two companies. Both are needed and they cover different things.

What is the difference between a controller and a processor?

The controller decides the purpose and means of the processing. The processor processes data only on the controller's instructions, not in its own interest.
